Terms of Service & End-User License Agreement for Anya

Effective date: June 13, 2026

These Terms of Service and End-User License Agreement (“Terms”) are a binding agreement between you and Cycle Five Syndicate, a Delaware corporation (“Cycle Five Syndicate,” “we,” “us”), governing your use of Anya, our AI habit-coaching and accountability companion application and related services (the “Service”).

By downloading, accessing, or using Anya, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Anya. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. Anya is intended for adults and is not directed to children.

2. License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use Anya on a device you own or control, for your personal, non-commercial use. This license is granted to you, the end user, in connection with the app store from which you obtained the app. You may not copy, modify, reverse-engineer, decompile, distribute, sell, or create derivative works of the Service except as permitted by law.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorized use. You may delete your account at any time from within the app (Settings → Account → Delete Account).

4. Acceptable Use

You agree not to:

  • use the Service for any unlawful, harmful, or abusive purpose;
  • attempt to make Anya generate content that is illegal, that sexually exploits or endangers minors, that promotes self-harm or violence, or that harasses or threatens others;
  • circumvent, disable, or interfere with security or content-moderation features;
  • use the Service to develop a competing product, or to scrape, harvest, or train other models on its outputs except as expressly permitted;
  • upload malware or attempt to gain unauthorized access to our systems or other users’ data; or
  • misrepresent your identity or violate the rights of others.

We may suspend or terminate access for violations (Section 9).

5. AI Content — Important Disclaimer

Anya is an AI-powered product. Please read this carefully.

  • Anya generates responses using artificial intelligence (large language models). AI output can be inaccurate, incomplete, offensive, or otherwise wrong. Do not rely on it as a statement of fact.
  • Anya’s coaching personality — including any “tough-love,” blunt, or “accountability partner” persona — is provided for motivation and entertainment purposes only. It is a stylistic character, not a real person and not a professional.
  • The Service is NOT therapy and does NOT provide medical, mental-health, psychological, legal, financial, or other professional advice. It is not a healthcare service, not a substitute for professional care, and must not be used to diagnose, treat, or manage any medical or psychological condition. Any habit, sleep, or workout information you record is for your own tracking and motivation only.
  • Do not use Anya for emergencies or crises. If you are experiencing a medical or mental-health emergency, or thoughts of self-harm, contact a qualified professional or your local emergency services immediately. Anya is not capable of providing emergency assistance.
  • You are solely responsible for any decisions or actions you take based on the Service. Always use your own judgment and consult appropriate professionals.
  • Content you submit may be processed by a third-party AI provider (AWS Bedrock, running the DeepSeek model) as described in our Privacy Policy (https://cyclefive.xyz/privacy). Do not submit information you do not want processed in that way.

6. User Content

You retain ownership of the content you submit to Anya (“User Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and transmit your User Content as needed to operate and improve the Service, including sending it to our AI provider to generate responses. You represent that you have the rights to submit your User Content and that it does not violate these Terms or any law.

7. Purchases and Subscriptions

Some features may require a paid purchase or subscription. Purchases made through the Apple App Store or Google Play are processed by those stores and are subject to their terms; billing, renewals, refunds, and cancellations are handled by the applicable app store. Subscriptions auto-renew unless canceled through your app-store account settings before the renewal date.

8. Intellectual Property

The Service, including its software, design, text, graphics, and the “Anya” name and branding, is owned by Cycle Five Syndicate or its licensors and is protected by intellectual-property laws. Except for the license in Section 2, no rights are granted to you.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including Sections 5, 8, 10, 11, 12, and 13) will survive.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI output will be accurate, reliable, or suitable for any purpose. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Cycle Five Syndicate and its officers, employees, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the claim, or (b) USD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Cycle Five Syndicate from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Hampshire, USA, without regard to conflict-of-laws principles. The state and federal courts located in New Hampshire will have exclusive jurisdiction over any dispute that is not subject to arbitration or small-claims resolution. Nothing in these Terms limits any non-waivable rights you have under the consumer-protection laws of your country of residence (including in the EU/UK).

14. Apple- and Google-Specific Terms

If you obtained Anya from the Apple App Store: these Terms are between you and Cycle Five Syndicate only, not Apple; Apple is not responsible for the Service or its support; Apple is a third-party beneficiary of these Terms and may enforce them; and you must comply with the Apple Media Services / Licensed Application terms. If you obtained Anya from Google Play: you also agree to the Google Play Terms of Service. To the extent these Terms conflict with the applicable app store’s mandatory terms, the app store’s terms control for that distribution.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new “Effective date” and, where required, notify you. Continued use of the Service after changes take effect constitutes acceptance.
